General conditions for providing Interior design services and Landscaping

 

  1. GENERAL TERMS

Acceptance of the offer by the investor constitutes the conclusion of a Service Execution Agreement between CREATIVE TOURISM INDUSTRY Ltd., headquartered in Vodnjan, Giuseppe Garibaldi Street 17, OIB: 21171279416 as the executor (hereinafter: CTI) and the Investor as the service requester. The parties agree that CTI will perform certain services within the period specified in the offer, and the Investor will pay a specific price for it, all as defined by the offer.

If the Investor requests services from CTI that are not defined in the offer, the parties agree to conclude an annex to the Agreement defining those tasks.

CTI undertakes to deliver a high-quality and attractive design that respects the architecture and existing specified elements, while also offering new solutions in line with modern requirements and its own visions, while respecting the wishes, visions, and needs of the investor wherever possible or whenever they are in line with the defined project task, fundamental design principles, and professional rules. CTI will develop the project in phases with active participation of the Investor, as defined in this offer and these General Terms.

 

  1. CTI RIGHTS AND OBLIGATIONS

CTI and the Investor commit to jointly define the project task, including conducting an initial meeting (either at CTI’s headquarters, via Zoom video call, or through a regular phone call) and providing all necessary accompanying materials required for the creation of project documentation.

CTI is obliged to design and create the entire design and project documentation within the agreed timeframe, and present it to the Investor. If the Investor is not fully satisfied, CTI undertakes to make all necessary adjustments that are justified and related to the predefined project task, all within the originally agreed price. In the conceptual part of the project, the Investor has the right to view the existing state of the object, two to three new floor plans with furniture layouts, stylistic characteristics (depicted through a moodboard), and a 3D model of the selected solution out of the latter three, with realistic representations of space (renders). The 3D project is defined after selecting the floor plan solution. Any additional changes requested by the Investor that do not relate to the previously defined solution will be considered and charged as additional costs. The Investor will receive all the mentioned documentation from CTI in a presentation format (PDF).

CTI will also provide the Investor with conceptual technical documentation, technical drawings of lighting fixture layouts, electronic devices, and water positions according to the chosen design solution. This documentation is not an official installation-engineering project but a conceptual solution that the Investor/Contractor can use for the implementation of the project task or the creation of the main installation project documentation if necessary.

If the project task includes additional services beyond the scope of CTI’s service offer (e.g., structural calculations, architectural projects, supplementing main project documentation, construction estimation, exterior design projects), CTI reserves the right to contact and engage a third party/expert collaborator to carry out the task, with the obligation to inform and acquaint the Investor in advance. Additional services of expert collaborators will be charged separately and performed according to an agreement with the Investor.

CTI is obliged to inform the Investor and provide all information related to the implementation of the interior design project (and exterior if agreed upon), send all quotations (supplier quotes), proposals (equipment list), and working documentation (technical drawings), inform about all costs and delivery deadlines, monitor and inform about all stages of project execution if it is agreed to be monitored. All communication with the Investor, third parties/contractors/suppliers/service providers should be conducted in written textual form (emails).

According to the final selection of equipment and confirmation from the Investor, CTI will contact suppliers on behalf of the Investor if agreed upon, order selected products, and monitor and inform the Investor about the delivery of the order. The delivered product/service of third parties/suppliers, its quality, and delivery terms are not CTI’s responsibility. CTI will take all reasonably necessary actions in coordination with third parties to ensure that the services of third parties are carried out with quality and in accordance with the project and professional rules, always protecting the interests of the Investor.

If the implementation phase of the project task involves the supply of equipment, materials, and/or specific types of construction-craft works, all Work Contractors must be legitimate expert collaborators or business entities operating in accordance with all professional rules and respecting all legally defined legal-business relationships. CTI is not responsible for the work of third parties engaged in the project; depending on the nature of the service, it proposes contracts between them and the Investor, coordinates their work in relation to the overall project needs, and acts as an intermediary (in relation to the execution of its services) on behalf of and at the expense of the Investor according to their instructions and overall project needs. CTI is solely responsible for preparing and providing all necessary documentation of the Works Contractor’s project (detailed carpentry drawings with color and material suggestions and indicated functions, cladding drawings of flooring and wall surfaces, conceptual solutions for lighting positions, switches, outlets, water, and electronic devices) if agreed upon. The Investor, as well as the Contractor, must verify and confirm the same. For all services and preparatory tasks (preparatory measurements required for the creation and execution of the offer/order – for all equipment and custom-made elements, all necessary construction-craft works required by the project), third parties (suppliers/contractors) that perform them independently, CTI is not responsible for possible errors and irregularities; this responsibility lies with the third party.

All technical specification drawings (carpentry/installation) created by CTI are conceptual design solutions and are subject to possible changes determined by professional rules: the carpentry design drawing is not a finished pattern but preparatory documentation on which the carpenter elaborates an offer and creates a carpentry project – technical drawings of electrical, water, and lighting layouts are not finished electrical and water installation projects but preparatory documentation for the main installation project or documentation guidelines for the Contractor of those works.

PROJECT MONITORING

If the Investor agrees with CTI to monitor the implementation phase of the project, CTI is obligated to plan, organize, and control all necessary work to carry out the implementation of the implementation part of the project task. At the same time, CTI should regularly inform and update the Investor about the undertaken and completed tasks unless otherwise agreed. CTI commits to visit the site and monitor all work in progress and inform the Investor about them unless otherwise agreed. All communication between CTI and the Investor during the implementation phase of the project needs to be conducted through communication channels that support a textual/written record (emails).

  1. RIGHTS AND OBLIGATIONS OF THE INVESTOR

The Investor undertakes to prepare all necessary data, materials, and information required for the execution of the requested service, within the agreed-upon timeframe, or within any newly established timeframe, and to inform CTI in writing in a timely manner. If the Investor is late in submitting these, CTI reserves the right to extend the agreed-upon deadlines for project completion.

If the Investor provides documents (photographs, drawings, project documentation, etc.) to CTI, CTI may use them under the assumption that the Investor is authorized to use them and that the rights of third parties have not been violated during processing and use. The Investor’s obligation is to verify the documents before submitting them, as CTI does not assume responsibility for potential errors, modifications, deficiencies arising from implementation, or incomplete project documentation. All materials that can be transmitted electronically (via email) should be provided by the Investor in that manner.

The Investor may set a preliminary budget for the execution of the interior design project before the project begins. The budget needs to be divided into parts designated for the proposed services, part designated for furnishing costs, and part designated for the implementation of all types of construction and artisanal works if required by the project task. Additionally, depending on the project’s size and complexity, the Investor may decide to adjust and change the budget throughout the project’s execution, across multiple phases of development, in communication and collaboration with CTI.

The Investor is required to appoint a person or persons authorized to give instructions to CTI on behalf of the Investor if they wish to do so, or if they are unable to do so.

The Investor is obligated to inform CTI if they are already collaborating with another designer/contractor/service provider on the proposed project. In such a case, the Investor is obligated to inform CTI and provide all necessary information and forward documentation (drawings, offers) that arose from collaborations with third parties/collaborators (designers/contractors/suppliers) and which directly relate to or are connected with the service being performed by CTI.

During the process of CTI performing the service, the Investor is obligated to receive, read, confirm, and follow all documentation (including offers from suppliers/contractors, design documentation for conceptual and implementation phases of the project, conceptual solutions, floor plans and installation drawings, equipment lists, cost estimates, and all accompanying documentation and information related to the implementation of the ordered service) provided by CTI. In the event of an error or negligence on the part of the Investor during the confirmation of the forwarded documentation, CTI is not liable for resulting damages, additional costs, inability to refund, or modify the order.

If, during the work process carried out by CTI, the Investor independently confirms and under their jurisdiction carries out certain tasks, modifications, enhancements, or orders, they are obligated to promptly inform CTI about them. CTI will continue the project task in line with the changes.

The Investor retains the right to finalize all decisions and confirm the final choices. CTI has the right to suggest and consult with the Investor, but the final decision rests with the Investor themselves. In the event that CTI, based on its best experience and knowledge, believes that a certain solution or decision made by the Investor does not comply with professional standards or significantly undermines design solutions that were accepted by the Investor in previous project phases, CTI does not take responsibility and does not guarantee the resulting changes, chosen equipment, work of suppliers/contractors/collaborators according to personal choice, modifications of the initial project idea, and possible irregularities arising from the Investor’s independent decision.

The Investor has the right to point out deficiencies and request their correction within a reasonable timeframe if they pertain to the service agreed upon and confirmed by the CTI offer. CTI is not responsible for any irregularities and mistakes in the implementation phase of the project by suppliers/contractors.

 

  1. PAYMENT

By accepting the offer of design services, the Investor is obligated to pay an advance payment of 50% of the total service price defined in this offer. The remaining amount should be settled by the Investor after receiving the project in digital (and paper) form within 7 days of its delivery.

 

  1. COMPLAINTS

The Investor is obliged to inspect the completed work after the service is provided and, at the latest, within 7 days, report any potential deficiencies. All complaints made after this period will not be considered, and corrections, if accepted by CTI, will be subject to additional charges.

CTI is committed to rectify any errors that are reported within the specified timeframe and if they are justified.

All complaints regarding equipment/products/services arising during the implementation phase of the project from third parties are not CTI’s responsibility but fall under the terms of delivery and operation of the respective suppliers/contractors. CTI suggests and proposes possible suppliers/contractors based on the Investor’s needs and budget, but it is not responsible for the production, quality, and final products/services provided by them. CTI will undertake all rational necessary actions to ensure the services of third parties are performed with quality and in accordance with the project and professional standards, always safeguarding the Investor’s interests.

In case of problems, inability to return, or incorrect delivery of goods, CTI can assist and help find a solution if the problem is justified, only during the project’s duration.

 

  1. OTHER

CTI’s obligation is to protect the Investor’s business secrets and data, and it has no right to make these available to third parties unless otherwise agreed.

All materials created as part of the interior and exterior design project are the property of CTI, which holds all intellectual property rights over them. By accepting the offer, the Investor agrees to and accepts the terms of cooperation for the development and implementation of the interior and exterior design project.

The project is developed in phases, and for each phase, CTI will deliver all necessary materials to the Investor on time and propose a meeting date to discuss the proposed solutions for that phase. If the Investor desires changes to the solutions proposed by CTI, they should explain in as much detail as possible the changes they propose, and, if necessary, support them with certain materials (e.g., images, examples, etc.). CTI will then proceed with implementing the agreed changes and developing further design solutions not included in the current phase or meeting, which will then be analyzed at the next agreed meeting. Meetings ideally take place in the CTI studio but can also be held remotely via Zoom or phone, depending on the Investor’s preferences and capabilities.

The first phase of conceptual design includes creating several characteristic views (e.g., kitchen, bedroom, living room, bathroom, etc.), as well as possible initial carpentry or ready-made solutions (e.g., wardrobes, solutions above and beside the bed, kitchen elements, shelves, TV units, etc.), so the client can get a better sense of the floor plan solutions, including dimensions of height, width, and length of elements. These views are created as high-quality 3D visualizations (renders). Two or three different stylistic and color variations are also created through these views to define the basic style and ambiance of the space.

In the next phase of conceptual design, the remaining 3D visualizations are created as photorealistic renders of each room’s interior (and exterior if agreed). These renders are made in high resolution to depict the conceptual solution as realistically as possible. Due to technical limitations of the software tools, certain elements (e.g., furniture, equipment, or decorations) in the render may not be identical to reality but are shown as close alternatives. Additionally, CTI uses industry-standard calibrated monitors to ensure accurate color representation. This means that if the client views the delivered materials on a non-calibrated or lower-quality monitor, there may be color discrepancies from the defined display as seen on a properly calibrated monitor.

Outside of scheduled meetings, communication is generally conducted via email and exceptionally by phone if urgent. In emergency situations requiring a quick response, problem resolution, prompt feedback, or intervention, CTI commits to responding as soon as possible.

The Investor grants CTI the right to photographic documentation of the completed project (upon project completion) and to use these photos on its website and social media.
